 WINC 90-Day Program Agreement
This is a sacred agreement first and foremost, as well as a legal agreement to make sure we are both clear on important issues, for example, the no-refunds policy, intellectual property rights, confidentiality, and liability.

Sacred Agreement

  • I am totally committed to growing my business. I show up to the WINC Program with an open willingness to learn and a readiness to take real action in my business.
  • I am 100% committed to doing the work to build my business and talking to my accountability partner between each meeting if I choose to have one.
  • I am a deep listener to other women in the Program. I am sensitive to keeping my comments within the allotted time, so that we can hear from all women.
  • I learn just as much about my business when other women are talking, as I do when I am talking and the Program is helping me.
  • I know that one of the biggest things holding me back in my business is a mindset or behavior I am stuck in, and that growing out of this pattern may not be easy or comfortable. I trust these growing pains.
  • I show up to each the WINC Circles on time and I stay until the official close time. If I am going to be more than 5 minutes late, I will not come out of respect for the other women.
  • If I am unable to continue being part of the Program, I commit to coming to one more Circle meeting to say goodbye so that we can all have a nourishing sense of closure.
  • My business is my responsibility. I do not hold WINC or any woman in the circle accountable or liable for any action or decision I make in my own business.
  • I understand I have signed a confidentiality agreement that makes sure my business is safe and that I keep other women’s business safe.
  • I understand that WINC limits the number of women who can participate in the Program, so as to foster an intimate experience among the women. Thus I understand that by saying Yes to this Program I have taken a seat that another woman could have benefited from, so I fully understand that I am purchasing a non- refundable seat in the Program.
  • I commit to showing up with my heart and my honesty, in support of all of our growth.
  • I will reach out and build connections with other women in WINC's Program with me, but I will not reach out for the sole purpose of marketing my business. I will not give a woman my sales pitch or add her to my business email list unless she explicitly asks for this first. I commit to helping ensure that all women feel WINC is a safe place to build connection and peership without concerns of being targeted for marketing or sales purposes.

Legal Agreement
Binding Agreement. By signing this contract and providing your payment information where indicated or
otherwise executing this Agreement, you and Women in Community, LLC (the “Company” or “we/us” or “WINC”) agree to be bound by this WINC Program agreement (the “Agreement”) that set forth the terms that shall apply to your participation in the WINC Program.

Consent to Abide by these Terms and Program Guidelines. By agreeing to this Agreement, you acknowledge that you have read, agree to, and accept all of the terms and conditions contained in this Agreement. We may amend this Agreement at any time by sending you a revised version at the address you provide below provided you expressly agree to such revisions or, in the alternative, continue your participation in the Program for more than seven (7) days without objection or notice following receipt of such amended terms.

Payment of Program Fees. By completing the Program payment form, you authorize the Company to charge your credit, debit card, cash your check, or submit a payment through a payment provider (such as PayPal®), as payment for the participation in the Program. If the Company is unable to accept you into the Program as a result of not having sufficient space or some other reason that would impair your participation, we will notify you accordingly and give you the option to receive a full refund of the fees paid or, in the alternative, to reserve a spot for you in the next available and same Program.

Have Integrity to Your Payment Obligations. In all cases, you are responsible for full payment of fees for the entire course of the Program, regardless of whether you actually attend or complete the Program, and regardless of whether you have selected a lump sum or monthly payment plan. No refunds will be issued and all monthly payments must be paid on a timely basis. If a monthly payment is three days late, your participation in the Program will be paused until your balance due is paid.  If a monthly payment becomes more than 30 days late, the entire balance becomes due and payable immediately at day 31. By joining this Program and signing this Agreement, you also acknowledge and agree that payment of the Program participation fees will not place a significant financial burden on you or your family.

Respect the Program and Fellow Participants. We are committed to providing all Program participants with a positive Program experience. You agree that you will comply with all Program Guidelines and this Agreement. In the event that you fail to meet the Guidelines, are disruptive, impair effective delivery of the Program or breach a term of this Agreement and fail to correct such behavior within ten (10) days following receipt of written notice from Company to the email address you have provide below that identifies the behaviors or actions that fail to meet the Program guidelines or this Agreement, the Company may terminate this agreement, and/or limit, suspend or terminate your participation the Program without refund or forgiveness of the remaining payments.

Honor Privacy and Confidentiality. We respect your privacy and must insist that you respect the privacy of fellow Program participants. You agree not to violate the publicity or privacy rights of any Program participant. We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively, “Confidential Information”) and must insist that you respect the same rights of fellow Program participants and of the Company. You agree (1) not to infringe or violate on copyright, patent, trademark, trade secret or other intellectual property rights of fellow participants or the Company, (2) that any Confidential Information shared by Program participants is confidential and Proprietary and belongs solely and exclusively to the Participant who discloses it, (3) not to disclose such Confidential Information to any other person or use it in any manner other than in discussion with other Program participants during Program sessions. You further agree that (i) all materials and information provided to you by the Company are its Confidential Information and/or proprietary intellectual property that belongs solely and exclusively to the Company and may only be used by you as authorized by the Company, and (ii) the reproduction, distribution and sale of Company materials by anyone but the Company is strictly prohibited. Further, you agree that, if you violate, or display a clear likelihood of violating any of your obligations contained in this paragraph, the Company and/or the other Program participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.
Notwithstanding the foregoing, nothing in this paragraph is intended to restrict you from using information that was known by you prior to your participation in the Program, is publicly available from a source other than a fellow participant or the Company or is required pursuant to any legal requirements or subpoena.

Your Actions Drive Your Success. We have made every effort to accurately represent the Program and its potential and are available to answer any questions that you may have regarding the nature and content included within the Program. While the Program will provide you with tools and information that we believe can result in financial success, your success and results depends on many factors, including your background, dedication, desire, motivation and the time you spend building your business.

We Make No Warranties or Guarantees. As with any business endeavor, there is an inherent risk of loss of capital and there is no guarantee that you will earn any money or experience any other results by participating in the Program. For this reason, EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, NEITHER PARTY MAKES ANY REPRESENTATIONS OR GRANTS ANY WARRANTIES, EXPRESS OR IMPLIED, EITHER IN FACT OR BY OPERATION OF LAW, BY STATUTE OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ANY OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, OR EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF QUALITY, MERCHANTABILITY, FINANCIAL SUCCESS OR FITNESS FOR A PARTICULAR USE OR PURPOSE.

Governing Law; Limitation of Liability. This Agreement shall be governed by the laws of the State of Colorado (excluding conflicts of laws principles). In the event that either party brings a claim for breach of contract or otherwise initiates a formal dispute, all such disputes shall be initiated in the City and County of Denver, Colorado. OTHER THAN FEES PAYABLE TO COMPANY BY PARTICIPANT HEREUNDER OR A BREACH OF CONFIDENTIALITY OR INFRINGEMENT OF INTELLECTUAL PROPERTY, NEITHER PARTY IS LIABLE TO THE OTHER PARTY FOR CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, LOST PROFITS WHETHER IN AN ACTION IN CONTRACT, TORT, STRICT LIABILITY OR NEGLIGENCE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR DIRECT DAMAGES IN EXCESS OF TWO HUNDRED ($200) DOLLARS.

We will process your payment in full or first payment in your payment plan, and we will send you all the details for your WINC Program participation within one  week prior to the Program starting.
